Proprietary end-user license for Elly, Your Nanny — including Basic and Premium editions.

This Software License Agreement (“License”) is a legal agreement between you (“you”, “User”) and Vrilsoft Inc. (“Vrilsoft”, “we”, “us”) governing your use of the browser extension and related software known as Elly, Your Nanny (“Elly”, “Software”), including any Basic (free) features and any paid Elly Premium features.

By installing, accessing, or using Elly, you agree to this License, our Terms of Service, Privacy Policy, and (where you purchase Premium) our Refund Policy. If you do not agree, do not install or use Elly.

1. Proprietary software — no public source code

Elly is proprietary commercial software. Vrilsoft does not publish Elly’s source code as open source, and this License does not grant you any right to receive, access, copy, modify, or redistribute source code.

  • All title, ownership, and intellectual property rights in Elly remain with Vrilsoft Inc. and its licensors.
  • No rights are granted except the limited license expressly stated below.
  • Trademarks, product names, and branding (including “Elly” and “Vrilsoft”) remain Vrilsoft’s property.

2. License grant (Basic)

Subject to this License, Vrilsoft grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use Elly in compatible browsers for lawful parental-control / website-blocking and related personal or household purposes.

You may:

  • Install Elly from official distribution channels authorized by Vrilsoft (for example the Opera or Chromium extension store listing published by Vrilsoft).
  • Use Basic features that are made available without a paid subscription.

3. Elly Premium

Certain features (for example schedules and other capabilities marked Premium in the product) require an active Elly Premium subscription or other paid entitlement tied to your Vrilsoft account.

  • Premium is billed and managed through Vrilsoft’s account and payment systems (including Stripe where applicable).
  • Premium status is verified against Vrilsoft’s servers; offline or manipulated claims of Premium do not create a license.
  • If Premium lapses, is cancelled, or is suspended (including for non-payment), Premium features may stop working immediately; Basic features may continue under Section 2.
  • Fees, renewals, and refunds are governed by the checkout terms and the Refund Policy.

4. Restrictions

Except as allowed by mandatory law, you must not:

  • Copy, distribute, sublicense, rent, lease, or sell Elly or any substantial part of it.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, except where a statute expressly permits and then only to the limited extent required.
  • Remove or alter proprietary notices, licensing screens, or security / entitlement checks.
  • Circumvent Premium gating, API authentication, PIN protections, or server-side license checks.
  • Use Elly to violate applicable law, third-party rights, or Vrilsoft’s acceptable use rules.
  • Use Elly to build a competing product by systematically copying its non-public design, protocols, or protected materials.

5. Accounts, API keys, and data

  • You are responsible for credentials, parent PINs, and API keys you store in Elly.
  • Server-side encryption of secrets and account authentication are provided as part of Vrilsoft’s services and remain subject to our Privacy Policy.
  • Settings and blocklists stored in your browser are under your control; uninstalling Elly may leave local data until cleared by you or the browser.

6. Updates and changes

Vrilsoft may update Elly, change Basic/Premium feature sets, or update this License. Continued use after an update constitutes acceptance of the revised License when presented or published at this URL. Material changes to paid Premium terms will be handled in line with applicable consumer law and our published policies.

7. Termination

This License continues until terminated. It terminates automatically if you breach it. Vrilsoft may suspend or terminate access to Premium services for breach, fraud, abuse, or non-payment. On termination you must stop using Elly and uninstall copies in your possession. Sections that by nature should survive (ownership, restrictions, disclaimers, liability limits) survive termination.

8. Disclaimer of warranties

Elly is provided “as is” and “as available”. To the maximum extent permitted by law, Vrilsoft disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Parental controls and blocking are tools only; they are not guaranteed to block all unwanted content or to work on every site, browser mode, or device configuration.

9. Limitation of liability

To the maximum extent permitted by law, Vrilsoft is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from use of Elly. Vrilsoft’s aggregate liability relating to Elly shall not exceed the greater of (a) amounts you paid to Vrilsoft for Elly Premium in the twelve (12) months before the claim, or (b) fifty euro (€50), except where liability cannot be limited by law.

10. Governing law

Except where mandatory consumer protections require otherwise, this License is governed by the laws applicable to Vrilsoft Inc.’s principal place of business, without regard to conflict-of-law rules. Courts of competent jurisdiction there shall have exclusive venue, subject to mandatory consumer venue rights.
